These Terms and Conditions govern your use of the Infinite Innovate website and any services you engage us for. 2. Services

We offer fixed-scope website sprints, retainer-based ongoing development and design support, and ad-hoc project work covering WordPress, Framer, custom web and app development, and AI-driven automation. The exact scope, deliverables, timeline, and price for any engagement are set out in a separate proposal or agreement provided to you before work begins. These Terms apply in addition to that proposal, and where the two conflict, the signed proposal takes precedence.

3. Quotes and Payment

Quoted prices are in Australian Dollars (AUD) and, unless stated otherwise, are exclusive of GST, which is added for Australian clients in line with current tax law. Standard project payment terms are 50% upfront before work commences and 50% on completion or launch, unless a different schedule is agreed in writing. Retainer clients are billed on the cycle set out in their retainer agreement. Late payments may result in paused work until the account is brought up to date. We reserve the right to change our standard pricing at any time, but any change will not affect a project already quoted and accepted.

4. Project Timelines

Typical timelines are communicated at the start of a project (for example, a 14-day sprint for standard scopes). Timelines depend on you providing requested content, feedback, and approvals within a reasonable period. Delays on your end, including late content delivery or slow review cycles, may extend the delivery date accordingly. We are not liable for delays caused by circumstances outside our reasonable control, including third-party plugin, hosting, or API issues.

5. Revisions

Standard packages include a set number of revision rounds, as specified in your proposal. Additional revisions beyond the agreed scope may incur extra charges, which we will confirm with you before proceeding.

6. Client Responsibilities

You agree to provide accurate business information, timely feedback, and any content, images, or brand assets needed to complete the project. You are responsible for the accuracy and legality of any content you supply to us, including text, images, and data, and you confirm you hold the rights to use it. We are not responsible for delays or issues arising from incomplete, inaccurate, or late materials provided by you.

7. Intellectual Property and Ownership

Once a project is paid in full, you own the final website, its content, and associated files that we build for you, including admin access and documentation, as outlined in your proposal. Until final payment is received, all work remains the intellectual property of Infinite Innovate. We retain the right to showcase completed projects in our portfolio, case studies, and marketing materials unless you request otherwise in writing. Any underlying tools, frameworks, code libraries, or proprietary processes we use to deliver a project remain our property or that of the relevant third-party provider, and are not transferred to you.

8. Third-Party Services

Our work may involve third-party platforms, plugins, hosting providers, payment gateways, or APIs (for example, WordPress plugins, Google services, or automation tools). We are not responsible for outages, pricing changes, feature removals, or policy changes made by these third parties. Any ongoing subscription or licence fees for third-party tools used in your project are your responsibility unless otherwise agreed.

9. Website Maintenance and Care Plans

Websites we build require regular maintenance, including software, plugin, and security updates, to continue functioning correctly and securely. If you are not on one of our Care Plans, you are responsible for arranging your own maintenance, and we are not liable for issues arising from outdated software, expired hosting, or unmanaged security vulnerabilities after handover.

10. Warranty

Standard projects include a 30-day post-launch warranty period covering defects directly related to our build. This warranty does not cover issues caused by changes made by you or a third party after launch, third-party plugin updates, hosting changes, or content added after the warranty period begins.

11. Limitation of Liability

To the maximum extent permitted by Australian law, Infinite Innovate’s total liability for any claim arising from our services is limited to the amount you paid us for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential loss, including lost profits, lost data, or business interruption, except where such liability cannot be excluded under the Australian Consumer Law.

12. Consumer Guarantees

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.

13. Termination

Either party may terminate an ongoing project or retainer by giving written notice, as specified in your individual proposal or agreement. Work completed and costs incurred up to the termination date remain payable. Retainer clients may pause, upgrade, or cancel their plan under the terms set out in their retainer agreement.

14. Website Use

This website and its content are provided for general information about our services. You may not copy, reproduce, or republish substantial parts of this website without our written permission. We may update the content of this website at any time without notice.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
